“Doing Business” in California: Perspectives on California’s Aggressive Taxation of Business Entities and their Members
Moderated by Paula goodwin and Brett Zudekoff
The California Franchise Tax Board has adopted a broad interpretation of what constitutes “doing business” in the state that can subject out-of-state LLCs and their out of state members (individuals, corporations and other pass through entities) to California filing requirements and tax obligations.  Even if your business is registered in another state and makes its profit in that other state, or has its primary asset in another state, if the activities of one or more members of the LLC are treated as “doing business” in California, then the LLC along with all of its other members are also treated as “doing business” in California – even if those other members have no ties to California whatsoever.  Instructing a property manager or employee over the phone by one member could constitute  enough activity to be treated as “doing business”,  and result in all other members being subjected to California taxation.
As the State of California plans to become more aggressive in the collection of these taxes, please join Family Office Exchange as Paula L. Goodwin, Partner, and Brett David Zudekoff, Associate, of Schiff Hardin, LLP assess the impact of this controversial interpretation and its effect on your family and the families that you serve.
Paula and Brett will provide insight into…
How to identify if you or your entity are “doing business” in California
Penalties associated with failing to file a return and pay taxes
Asset review and planning critical to minimizing tax and enhancing family wealth and family businesses
